These Terms of Service (along with the Business Terms below) are effective immediately for users who access or use the Peruhu Platform without an Account as of March 1, 2025.

These Terms govern your access to and use of our products and services. This includes everything offered through our websites, events, communications (such as emails, texts, and phone calls), and web and mobile applications (collectively referred to as the "Peruhu Platform"), as well as the content, features, and services ("Services") we provide. By accessing or using our Services, you agree to these Terms, which create a legally binding agreement between you and Peramiho Technologies Ltd., a company based in Dar es Salaam, Tanzania. Throughout these Terms, "Peramiho" refers to Peramiho Technologies Ltd., as applicable. If you do not agree to these Terms, or are unable to be bound by them, please do not access or use the Peruhu Platform.

1. Definitions

i) Parties. “You” and “Your” refer to you as a user of our Services. “User” is anyone who accesses or utilizes the Peruhu Platform. “We,” “Us,” and “Our” denote Peramiho and its subsidiaries.

ii) Content. “Content” refers to text, images, photographs, audio, video, and all other types of data or communication. “Your Content” pertains to any material you provide or send to, through, or related to the Peruhu Platform, including ratings, reviews, photographs, videos, compliments, activities involving likes and follows, direct messages, and any details you add to your user profile or recommend for a business page. “User Content” describes the material submitted or sent by users to, through, or in association with the Peruhu Platform. “Peruhu Content” denotes the content we produce and make accessible in relation to our Services. “Third Party Content” includes material from sources outside the Peruhu Platform or its users that is available in connection with our Services. “Service Content” encompasses all Content available in relation to our Services, including Your Content, User Content, Peruhu Content, and Third Party Content.

iii) Sites and Applications. “Consumer Site” refers to the Peruhu consumer website (www.peruhu.com and associated domains), while “Consumer Application” pertains to the mobile apps provided by Peramiho for accessing the Peruhu Platform and its offerings.

iv) Accounts. "Consumer Account" is the account you establish to access or utilize the Consumer Site or Consumer Application. A "Business Account" is the account you create for your business to access or use the Peruhu for Business Owners mobile application and related websites. An "Account" refers to either a Consumer Account or a Business Account.

2. Service Usage

i) Eligibility: To access or use our Services, you must possess the legal capacity and authorization to agree to these Terms. If you directly compete with the Peruhu Platform, or if you've been previously barred or had your account terminated, you are not permitted to access or use our Services.

ii) Availability: Our Services may be changed, updated, temporarily interrupted, suspended, or permanently discontinued at any time without prior notification or any resulting liability.

iii) Accounts: To access certain features on the Peruhu Platform, you must create an account and provide personal information. You are responsible for maintaining the security of your account login details. You are also accountable for all activity that occurs under your account. You must immediately inform us of any unauthorized use of your account. We reserve the right to terminate your account at any time, for any reason. Your Consumer Account is intended for personal, non-commercial use only, and you may not create or use an account on behalf of someone else. To enhance your credibility as a contributor to our Services, please provide accurate and complete information when creating an account. You are prohibited from impersonating others, using someone else's email address, creating multiple accounts, or transferring your Consumer Account to another individual without prior approval from Peramiho.

iv) Permission: We authorize you to use our Services in accordance with these Terms. Your use of our Services is at your own risk. This includes the possibility of encountering content that is offensive, inappropriate, inaccurate, objectionable, incomplete, or lacking sufficient warnings about potential dangers or risks.

v) Communications from Peramiho and Others: By using our Services, you agree to receive communications from Peruhu and other users through various channels, including emails, push notifications, SMS and MMS messages, and phone calls. These communications may promote the Peruhu Platform or businesses listed on it and may be initiated by Peruhu, listed businesses, or other users. You also acknowledge that these communications may be sent via automated messaging or dialing systems, and your phone carrier may charge you for certain communications like SMS messages or phone calls. You agree to promptly notify us if the phone number(s) you provided have changed or been disconnected. Please be aware that any communications with Peruhu, including phone calls, may be monitored and recorded for quality assurance purposes.

3. Content

i) Responsibility for Your Content. You are solely accountable for Your Content, and once it is shared on the Peruhu Platform, it may not be easily removed. You accept all risks linked to Your Content, including any reliance on its quality, accuracy, or dependability, as well as the risks associated with any personal information you choose to share. You affirm that you own or possess the necessary rights to use and authorize the use of Your Content as stated here. You must not suggest that Your Content is sponsored or endorsed by Peramiho in any way. You may face legal liability if, for instance, Your Content includes false, intentionally misleading, or defamatory material; infringes on third-party rights (including copyrights, trademarks, patents, and privacy rights); contains illegal content, such as hate speech or pornography; exploits or harms minors; violates any laws or regulations; or breaches these Terms.

ii) Our Right to Use Your Content. We may utilize Your Content in various ways, such as displaying it publicly, reformatting it, integrating it into advertisements and other works, creating derivative works, promoting it, distributing it, and permitting others to do the same in relation to their own websites and media platforms ("Other Media"). Consequently, you irrevocably grant us worldwide, perpetual, non-exclusive, royalty-free, assignable, sublicensable, and transferable rights to use Your Content for any purpose. Additionally, you grant users of our Services and any Other Media the right to access Your Content in connection with their usage of our Services and Other Media. You also waive any claims and assertions of moral rights or attribution regarding Your Content against Peramiho, the Peruhu Platform, and its users. By “use,” we mean the ability to use, copy, publicly perform and display, reproduce, distribute, modify, translate, remove, analyze, commercialize, and create derivative works from Your Content.

iii) Ownership. You retain ownership of Your Content, while we own the Peruhu Content, which includes but is not limited to visual interfaces, interactive features, graphics, designs, compilations, software, aggregate ratings, and all other elements of our Services, excluding Your Content, User Content, and Third Party Content. We also hold the copyrights, trademarks, service marks, trade names, trade secrets, and other intellectual property rights globally related to the Peruhu Content and our Services. Therefore, you may not sell, license, copy, publish, modify, reproduce, distribute, or create derivative works of any Peruhu Content, in whole or in part, unless explicitly authorized by us. Besides what is clearly stated here, we do not grant you any express or implied rights, and we retain all rights to our Services and the Peruhu Content.

iv) Content Moderation. Unless required by law, we reserve the right to review, remove, edit, or restore User Content at our discretion for any reason or no reason, without notifying you. For instance, we might remove a review if we believe it violates our Content Guidelines.

v) Advertising. Peramiho and its licensees may display advertisements, paid content, and other information alongside or in connection with Your Content. You will not receive any compensation for these advertisements, and the manner and extent of advertising may change without specific notice to you.

vi) Miscellaneous. Except under Peruhu’s Verified License program, Peramiho does not verify any licenses local businesses or their representatives may hold, and consumers should directly inquire about such licenses with the businesses. Businesses with verified licenses will display a “Verified License” badge on their Peruhu business page. Except as legally required, we are not obligated to retain or provide you with copies of Your Content, nor do we guarantee confidentiality regarding Your Content. User Content (including any created by users employed or contracted by Peramiho) does not necessarily reflect Peramiho's views.

4. Representantions And Warranties

We are not obligated to enforce the Terms on your behalf against other users. While we encourage you to report any violations, we maintain the right to investigate and take action at our discretion.

i) You are responsible for ensuring that your use of our Services, as well as the use by anyone you support or encourage, meets the following conditions:

a. You have read and understand our Privacy Policy.

b. You are aware of and agree to our Content Guidelines.

c. Before attending any event listed on our Services, you have reviewed and accepted our Event Terms and Conditions.

ii) You affirm and guarantee that:

a. You will not violate any applicable laws.

b. You will not breach our Terms, including the Content Guidelines and Event Terms and Conditions.

c. You will not submit any false or defamatory reviews, engage in review exchanges, or offer compensation for posting, avoiding, or removing a review.

d. You will not promote a business or commercial venture or use our Services for commercial purposes, except as permitted under a Business Account in accordance with the Business Terms.

e. You will not infringe upon any third party's rights, including breaches of confidentiality, copyrights, trademarks, patents, trade secrets, moral rights, privacy rights, publicity rights, or any other intellectual property or proprietary rights.

f. You will not threaten, stalk, harm, or harass others, or promote discrimination or bigotry.

g. You will not send bulk emails, surveys, or mass messages, whether commercial or not; engage in keyword spamming; or manipulate the search results of the Peruhu Platform or any third-party website.

h. You will not solicit personal information from minors or submit or transmit pornographic material.

i. You will not modify, adapt, reproduce, distribute, translate, create derivative works from, publicly display, sell, or exploit our Services or Service Content (excluding Your Content), except as explicitly authorized by Peramiho.

j. You will not record, process, or mine user information.

k. You will not use any automated tools, such as robots or spiders, to access, retrieve, copy, scrape, or index any part of our Services or Service Content, except as expressly permitted by Peramiho.

l. You will not reverse engineer any part of our Services unless prohibited by law, in which case you will provide us with 30 days’ prior written notice.

m. You will not remove or alter any copyright, trademark, or proprietary rights notices that appear on any part of our Services or on materials printed or copied from our Services.

n. You will not access or index any part of our Services for the purpose of creating a searchable database of business reviews.

o. You will not reformat or frame any part of our Services.

p. You will not use any tools, software, or routines that disrupt the proper functioning of our Services.

q. You will not use our Services to compromise the security of any computer network, crack passwords, or disrupt the security of our Services or Service Content.

r. You will not remove, bypass, disable, damage, or interfere with any security features of our Services, including those that prevent unauthorized use or copying of Service Content.

s. You will not take any action that places an unreasonable or disproportionately large burden on the Peruhu Platform’s technology infrastructure or creates excessive traffic demands on our Services.

t. You will not attempt to gain unauthorized access to our Services, Accounts, or any connected computer systems or networks through hacking or other means.

u. You will not use our Services or any Service Content to transmit harmful software, including viruses, worms, or malware.

5. Recommendations and Enhancements

By submitting any ideas, suggestions, documents, or proposals (“Feedback”), you agree to the following:

i) Your Feedback does not include any confidential or proprietary information belonging to third parties.

ii) We are not bound by any confidentiality obligations, whether explicit or implied, regarding the Feedback.

iii) We may already be considering or developing something similar to your Feedback.

iv) We are not required to review, consider, or act upon the Feedback, nor are we obligated to return any part of it to you.

v) You grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide, assignable, sublicensable, and transferable license to use, modify, create derivative works from, publish, distribute, and sublicense the Feedback. You also irrevocably waive, and ensure the waiver of, any claims or assertions of moral rights against Peruhu Platform and its users related to the Feedback.

6. Third Party Services and Content

Our Services may feature Third Party Content or provide links to other websites or applications (collectively referred to as “Third Party Services”). We do not control or endorse any Third Party Content or Third Party Services. You acknowledge that we are not liable for the availability, accuracy, or content of any such Third Party Content or Third Party Services. Your use of and reliance on any Third Party Content or Third Party Services is solely at your own risk.

Some services available through our Services and Third Party Services may be governed by additional third-party terms of service, privacy policies, licensing agreements, and other conditions and policies. It is your responsibility to review and understand any applicable Third Party terms.

7. Liability Protection

You agree to indemnify, defend, and hold harmless Peramiho, along with its parent companies, subsidiaries, affiliates, related entities, suppliers, licensors, and partners, as well as their officers, directors, employees, agents, contractors, and representatives (collectively referred to as the “Peramiho Entities”), from and against any and all claims, actions, demands, losses, damages, costs, liabilities, and expenses (including but not limited to attorney fees and court costs) that arise from or relate to:

i) Your access to or utilization of our Services, including Your Content.

ii) Your breach of these Terms.

iii) Your violation of any representations and warranties outlined in these Terms.

iv) Any products or services acquired by you in relation to our Services.

v) Your products or services, or their promotion and distribution to end users.

vi) Any infringement by you, or by any third party using your Account, of the intellectual property or other rights of any person or entity.

Peramiho reserves the right, at your expense, to take over the exclusive defense and control of any matter for which you are obligated to indemnify us, and you agree to cooperate in our defense of these claims. You also agree not to settle any such matter without obtaining prior written consent from Peramiho. Peramiho will make reasonable efforts to inform you of any such claim, action, or proceeding once it becomes aware of it.

8. Disclaimers and Limitations of Responsibility

Please review this section carefully, as it outlines the limitations of the Peramiho Entities' responsibility to you. Each subsection applies to the fullest extent permitted by applicable law, and nothing here intends to limit your non-waivable rights. By accessing or using the Service, you acknowledge that you have read, understood, and agreed to these terms, including this section, thereby relinquishing significant legal rights.

i) Our Services and Service Content are provided on an "as is," "with all faults," and "as available" basis. You understand that the Peramiho Entities may not monitor, control, or vet user-generated content or third-party content. Therefore, your use of our Services is at your own risk and discretion. The Peramiho Entities make no guarantees regarding the quality, completeness, accuracy, safety, or reliability of our Services or its content, including data security. Consequently, the Peramiho Entities are not liable for any personal injury, loss, or damage arising from issues such as service inoperability, battery depletion, device impairment, unavailability, security vulnerabilities, or your reliance on the accuracy or quality of business listings, ratings, reviews, metrics, or other content available through the Service.

ii) The Peramiho Entities do not make any claims or guarantees regarding third parties, including businesses or advertisers listed on our Services or those offering goods or services through it. Therefore, the Peramiho Entities are not liable for any personal injury, loss, or damage resulting from third-party actions or omissions. This includes situations where another user or business misuses your content, identity, or personal information, or if you experience a negative interaction with a business or advertiser featured on the Service. Your purchase and use of products or services offered by third parties through our Services are at your own discretion and risk.

iii) If you are dissatisfied with the Service, related services, or have any grievances, your sole remedy is to terminate and discontinue your access to or use of the Service.

iv) The maximum total liability of the Peramiho Entities for any losses or damages you incur in connection with the Services or these Terms is limited to the greater of the amount you paid to the Peramiho Entities for our particular service in the 12 months preceding the action that caused the liability.

v) The liability of the Peramiho Entities is limited to the fullest extent allowed by law. The Peramiho Entities will not be responsible for any:

a. Loss of income or revenue.

b. Disruptions to business operations.

c. Harm to reputation.

d. Loss of data or information.

e. Indirect, special, incidental, punitive, exemplary, reliance, or consequential losses.

f. Responsibility related to consumer notifications posted on any Peruhu business pages for your business.

The waivers and limitations outlined in this section will remain in effect irrespective of the type of legal action, whether based on contract, tort (including negligence), strict liability, or other grounds.

9. Account Termination

i) You have the right to terminate these Terms at any time by closing your Account and ceasing all access to or use of our Services.

ii) We reserve the right to close your Account, suspend your access to specific features of the Peruhu Platform, revoke any licenses or permissions granted to you, and/or prohibit you from using our Services for any reason, or for no reason at all, without prior notice or liability. Such actions may restrict your access to your Account, our Services, Your Content, Service Content, or any related information.

iii) Regardless of whether termination is initiated by you or us, the Terms of Service will remain in full effect.

10. Miscellaneous Terms

i) You may not assign, transfer, or sublicense any rights or obligations under these Terms without obtaining prior written consent from Peramiho. We may assign or transfer our rights without any restrictions. Any unauthorized assignment by you will be considered a violation of these Terms and will be null and void.

ii) We maintain the right to change, update, or cease offering our Services at our discretion, at any time, for any reason, or for no reason, without prior notice or liability.

iii) Should any provision of these Terms be deemed unenforceable or invalid by an arbitrator or court with appropriate jurisdiction, that provision will be adjusted to reflect the parties' intent or removed to the least extent necessary, allowing the remaining Terms to stay in full force and effect.

iv) The headings used in these Terms are for reference only and do not carry any legal or contractual significance.

v) These Terms represent the complete agreement between you and us concerning the use of our Services, overriding any prior agreements on the same topic. Both parties acknowledge that no reliance is placed on any statements not explicitly included in these Terms.

vi) You acknowledge that no joint venture, partnership, employment, agency, or special relationship exists between you and Peramiho due to these Terms or your use of our Services.

vii) Any failure by Peramiho to assert or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. The inability of either party to exercise any right herein shall not be interpreted as a waiver of any further rights.

viii) Except as specified in Section 6: Third Party Content and Services, nothing in these Terms is intended to grant rights or remedies to any third parties.

11. Terms Changes

We may update the Terms periodically. The latest version will be available here. You acknowledge and accept that your access to or use of our Services is subject to the Terms in effect at the time of your access or use. If we implement significant changes to these Terms, we may inform you via email, post a notice on the Peruhu Platform, and/or use other methods before the changes take effect. The date of the most recent changes will also be indicated at the top of this page. It is advisable to review these Terms regularly, as any revised versions will be binding upon you. Your continued access to or use of our Services after the effective date of any changes signifies your acceptance of those changes.

12. Terms Translation

We may provide translations of these Terms into other languages for your convenience. However, the English version will prevail in governing your relationship with Peramiho, and any discrepancies among the various versions will be resolved in favor of the available English version.

Additional Terms for Business Accounts

The following provisions (“Business Terms”), alongside the Terms of Service outlined above, govern your access to and use of your Business Account. In the case of any discrepancies between these Business Terms and the Terms of Service, the Business Terms will take precedence. If you have acquired products or services from Peruhu on behalf of your business (such as advertising or business tools), the terms related to that purchase will prevail in the event of a conflict with these Business Terms. Any capitalized terms not defined in these Business Terms will have the meanings assigned to them in the Terms of Service. By creating, accessing, or utilizing your Business Account, you agree to these Business Terms and enter into a legally binding agreement with Peramiho. Please refrain from creating, accessing, or using a Business Account if you do not agree to these Business Terms.

Should these Business Terms be terminated, whether by you or by us, the entirety of these Business Terms will remain in full effect.

1. Conditions, Affirmations, and Guarantees

i) Access and Usage Agreement: To utilize our Services, you affirm that:

a. You grant Peramiho a limited, non-exclusive, non-transferable, royalty-free license to showcase your public website on our Services, including its display through iframes or similar technologies.

b. You possess the authority to represent the business or businesses linked to your Business Account and can legally bind these entities (collectively referred to as your "Business").

c. Your engagement with the Business Site and Application will exclusively be in your role as an authorized agent of your Business.

d. You will refrain from using the Consumer Site and Application for any business-related activities, including but not limited to flagging reviews or contacting reviewers of your Business.

e. You consent to being contacted by us via phone or email using the contact details you provide, that are publicly available, or that we have on file for your Business. You acknowledge that our communications (including calls) may be monitored and recorded for quality assurance.

f. You recognize that we may display health score information for your Business and may place a Consumer Alert regarding that health score on your Business page.

g. Your Business adheres to relevant laws and does not offer, promote, sell, or lease any illegal products or services.

h. You understand and agree that we may share aggregate or deidentified information regarding your responses to Request a Quote leads with other Businesses, such as the total number of Businesses responding to a lead and their response times.

i. You recognize and agree that: (i) non-disparagement clauses in consumer contracts—such as those that seek to limit or prohibit reviews (including provisions that penalize consumers for posting reviews)—are not permitted, and you will not include such clauses in your consumer contracts; and (ii) you will not attempt to enforce any non-disparagement or ‘gag’ clause against consumers under any circumstances, regardless of their legality.

j. You acknowledge that Peruhu Platform may publicly inform consumers about any attempts to enforce non-disparagement or ‘gag’ clauses against them.

ii) Consumer-Generated Content: You recognize that Peramiho enables consumers to share Content about your Business, including photos, ratings, and reviews. You acknowledge that Peramiho uses automated systems to highlight the most reliable and valuable reviews while displaying others less prominently (referred to as the “Recommendation System”). You understand that while this system aims to filter out less helpful reviews, it may occasionally suppress genuine reviews or fail to identify fraudulent ones. Furthermore, you acknowledge that purchasing advertising or other paid features from Peruhu Platform will not influence the Recommendation System or grant you any ability to modify reviews or affect their visibility on the Peruhu Platform.

iii) Representations and Warranties: You affirm that you will not, nor will you authorize or encourage any third party to:

a. Request or solicit reviews from your clients.

b. Compose reviews for your Business or for competing businesses.

c. Seek to create automated, deceptive, or invalid ad impressions, inquiries, conversions, ad clicks, or other activities.

d. Provide any form of incentive, such as discounts, freebies, or contests, in exchange for reviews of your Business, or to suppress or remove reviews. You acknowledge that Peruhu Platform may publicly inform consumers about such incentives and other efforts to manipulate reviews.

e. Compensate or persuade anyone to post, refrain from posting, or delete reviews, or to otherwise attempt to bypass Peruhu Platform’s Recommendation System (as defined below) or fraud detection mechanisms.

f. Use any trademark or service mark of Peramiho in any capacity without prior written permission from Peramiho, or misrepresent your identity or association with Peramiho.

g. Utilize any automated tools or scraping methods to access, query, or collect data, content, or reviews from the Consumer Site or Business Site, unless explicitly authorized by Peramiho.
